Luxembourg for Funds and Holding Structures

October 16, 2026

Luxembourg company registration for funds and holding structures is a fork. A SOPARFI is an ordinary fully taxable company used to hold participations; it files with the Trade and Companies Register and does not need Commission de Surveillance du Secteur Financier product approval for a plain holding purpose. Regulated collective investment vehicles sit under CSSF authorisation when sectoral law requires it. A reserved alternative investment fund sits between those poles: no product approval of the fund itself, but an authorised AIFM and a service stack institutions recognise. Substance, tax residence, and cost categories decide fit. Luxembourg usually works for institutional holding and fund mandates. It usually fails for micro-SME trading companies that only wanted an EU letterhead.

Why Luxembourg sits in the fund and holding lane

Fund counsel and institutional LPs have reviewed Luxembourg RCS extracts, RESA publications, and CSSF list letters for decades. The country is an EU Member State with a deep UCITS and alternative-investment industry, notarial incorporation for capital companies, and a participation exemption regime groups still model for a fully taxable onshore holdco. That history is operational memory. It does not guarantee that every SARL labelled “SOPARFI” will clear banking or treaty questions.

Search results for “luxembourg company formation” often blur three jobs: incorporate a holding company, launch a CSSF-authorised fund, or stand up a RAIF managed by an authorised AIFM. Those jobs share a notary, an RCS filing, and an RBE beneficial-owner entry. They diverge on eDesk, depositary, offering document, and supervision cost categories. Licensing and company formation work should name the job before anyone reserves a name on the LBR portal.

Luxembourg fails early for a cheap two-person trading company, a remote mailbox with no Luxembourg management, or a retail product sold as if it were a SOPARFI. It fits when counterparties expect Luxembourg fund or holdco documents, when the plan is participations or a collective scheme for well-informed investors, and when the budget covers notary, administrators, and substance.

What a SOPARFI actually is

SOPARFI is market shorthand for société de participations financières. It is not a separate legal form in the Law of 10 August 1915 on commercial companies. You incorporate an SARL, an SA, or another commercial company whose corporate purpose centres on acquiring, holding, and managing participations, often with affiliated financing language in the articles. Guichet.lu treats the SARL as the most common Luxembourg capital company; roughly two-thirds of companies take that form. Insurance companies, savings companies, and investment companies may not be formed as SARLs, which already signals that collective investment products use other regimes.

A SOPARFI is fully taxable. It does not receive a CSSF “SOPARFI licence.” CSSF authorisation attaches when the entity is an investment vehicle or manager under sectoral law, or when the company itself performs a regulated financial-sector activity. Pure holding of shares, without soliciting the public into a fund, typically stays outside product authorisation. Crossing into discretionary portfolio management for third parties, depositary functions, or a collective investment undertaking changes the perimeter. Read the corporate purpose against the CSSF authorisation pages before you assume the holding label is enough.

Tax residence for a Luxembourg company turns on registered office and central administration in Luxembourg. Foreign tax authorities and banks will still ask where board decisions happen, who signs, and whether the company can show staff and premises that match its income. Naming the company a SOPARFI does not create substance.

How Luxembourg company registration with the RCS runs

Capital companies that founders use as SOPARFIs are formed by notarial deed. Guichet’s Trade and Companies Register guidance lists public limited companies, private limited companies, partnerships limited by shares, and European companies among the forms that require a notary before registration. The notary registers the deed with the Registration Duties, Estates and VAT Authority within the statutory window, then files the instrument electronically with the RCS for publication in the Recueil électronique des sociétés et associations. Instruments bind third parties after RESA publication. Name availability can be checked through the RCS before you lock branding. The subsections below separate the formation package from beneficial-ownership filing, because banks treat them as two different completeness checks.

Notarial deed, capital, and RCS publication

For an SARL, Guichet requires a minimum share capital that is fully subscribed and paid up at incorporation; confirm the live figure on the SARL procedure page before you instruct counsel. An SA uses a higher subscribed minimum with a partial paid-up rule at incorporation under the 1915 Law practice; confirm the live bands with the notary rather than a blog. Contributions may be cash or in kind; in-kind contributions need valuation treatment in the articles. The deed must state the legally required particulars: parties, form, name, registered office, purpose, capital, share classes, and an approximation of formation costs. Filing fees appear on the LBR RCS tariff schedule; Guichet also describes a fixed registration duty payable to the AED on incorporation and certain amendments. This article does not reprint tariff figures. Use the live Guichet and LBR pages before you pay.

Managers of an SARL may be Luxembourg nationals, other EU nationals, or third-country nationals; nationality alone is not the substance test. Annual accounts must be filed with the RCS within the statutory window after year-end. Size thresholds on Guichet determine whether a statutory auditor is mandatory and whether abbreviated accounts are available. A SOPARFI that holds only shares still needs bookkeeping and a closing calendar.

Register of Beneficial Owners and ongoing filings

Since the Law of 13 January 2019, Luxembourg Business Registers also manages the Register of Beneficial Owners. Entities registered with the RCS must identify and file beneficial owners: natural persons who ultimately own or control more than 25% of shares, voting rights, or capital, or who exercise control by other means, with senior managing officials as a fallback when no such person is identified after exhausting available means. Funds and commercial companies both fall in scope. Public browsing of UBO data remains constrained after Court of Justice case law on open access, but competent authorities and AML-obliged professionals still expect accurate RBE data. After RCS registration, VAT registration with the AED is a separate step when the activity profile requires it. Pure holding companies often sit outside VAT, yet the AED analysis is fact-specific. Treat RBE updates and RCS amendments as living obligations, not a one-time formation chore.

SA or SARL for a holding company

Both forms can carry a SOPARFI purpose. The choice is governance and transfer mechanics, not a tax brand. Guichet’s SARL page emphasises limited liability, registered shares that transfer to outsiders only with a high capital majority approval (articles may lower the threshold within the legal floor), and a shareholder cap of one hundred. An SA is built for freer share transfers, listings, and larger investor tables. Tax residence, participation exemption, and CSSF perimeter do not turn on the SARL versus SA label. They turn on purpose, management, and whether you crossed into a fund regime. Pick the form that matches the shareholder agreement you can live with for five years.

When an SARL is the cleaner holdco

An SARL fits a closely held group parent, a single-member holdco, or a joint venture that wants transfer restrictions in the form. Managers can be legal persons. Public issues of shares or bonds are not permitted. Frequent secondary transfers among unrelated sponsors without renegotiating approval majorities make the SARL a poor fit.

When an SA earns its complexity

An SA fits transferable securities culture, broader governance, or a parent that may later sit above a widely held structure. Minimum capital and paid-up rules differ from the SARL; the notary applies the 1915 Law requirements current at signing. Auditor and board formalities add recurring cost categories even when the company only holds shares. Skip the SA if a brochure merely said it “looks more institutional” and the SARL already matches the shareholder agreement.

Holding tax posture in 2025 and 2026

A Luxembourg tax-resident SOPARFI is taxed on worldwide income unless a specific exemption applies. From tax year 2025, PwC Tax Summaries describe a CIT schedule with a lower band, a transitional band, and a 16% rate above the upper threshold, plus a 7% solidarity surcharge on CIT and municipal business tax by commune. For Luxembourg City the combined top-band headline often sits in the mid-twenty per cent range. Confirm live bands with the Administration des contributions directes before you model a return. The subsections separate the ordinary stack, participation exemption, and net wealth tax, because founders collapse those three into one “Luxembourg rate.”

Corporate income tax and municipal business tax

Non-qualifying income, interest that fails exemption, and gains outside the participation rules face the ordinary stack. Transparent partnerships are outside CIT unless reverse-hybrid rules pull them back in. Pillar Two legislation already applies to in-scope multinational groups meeting the consolidated revenue threshold over the lookback years; a Luxembourg holdco inside such a group may face domestic minimum top-up mechanics even when local exemptions reduce the entity-level effective rate. Mid-market groups outside that perimeter still model ATAD interest limitation, anti-hybrid rules, and principal-purpose treaty tests. Accounting and tax work for a SOPARFI starts with mapping income streams to exemption categories, not with a single percentage on a slide.

Participation exemption as a rule category

Article 166 of the Income Tax Law and the related Grand-Ducal framework exempt dividends, and under conditions capital gains and liquidation proceeds, on qualifying participations. KPMG’s 2026 summary (confirm against ACD practice) restates the tests: a fully taxable Luxembourg or Parent-Subsidiary Directive EU subsidiary, or a non-resident company subject to comparable CIT; a fully taxable resident parent; a minimum capital percentage or acquisition-cost threshold (higher for the capital-gains path); and a twelve-month holding commitment. Outbound dividends can clear withholding exemption when conditions are met. Fail any limb and income returns to the ordinary stack. Related-party financing expenses and write-downs can trigger gain recapture. Treat the exemption as a worksheet, not a slogan.

Net wealth tax on the balance sheet

SOPARFIs remain in the net wealth tax perimeter. Qualifying participations may be excluded from the NWT base when conditions align with the participation rules, which is why a clean participation portfolio and a messy mixed asset book produce different January unitary values. Luxembourg also applies a minimum net wealth tax that scales with balance-sheet size and the share of financial assets; pure holding balance sheets often land in the higher minimum band. Confirm the live minimum schedule on ACD material for your closing date. NWT is a recurring cost category even in years when CIT is near zero because dividends were exempt.

When the CSSF attaches to the vehicle

The CSSF authorisation hub is blunt: an investment vehicle or fund manager needs prior authorisation where sectoral law requires it. The UCI page, updated 12 March 2026, covers UCITS and Part II UCIs under the Law of 17 December 2010, SIFs under the Law of 13 February 2007, and SICARs under the Law of 15 June 2004. Authorisation needs CSSF approval of constitutive documents and the depositary, plus director fitness. Applications run through eDesk with the AML/CFT Market Entry Form. Entry on the official list equals authorisation; list entry is not a quality endorsement of the securities.

A plain SOPARFI holding shares for its own account does not become a UCI because someone calls it a fund online. Collecting capital under a common investment policy, issuing units in a collective undertaking, or marketing under a fund law pulls the file onto eDesk. Management companies and AIFMs have separate tracks on the same hub. If your “holdco” manages third-party AIFs, the manager perimeter may attach.

Regulated UCIs at high level: UCITS, SIF, and SICAR

These vehicles are product-authorised. They share eDesk filing, depositary approval, director fitness, ongoing CSSF supervision fee categories under the Grand-ducal Regulation of 23 December 2022, and auditor requirements. They differ on investor universe and investment policy. Sponsors who already know they need a CSSF list letter should still choose among UCITS, Part II, SIF, and SICAR with counsel, because marketing rights, eligible assets, and tax architecture diverge even though the approval portal looks similar. Confirm live law texts and circulars before you freeze a term sheet. The subsections below keep the same high-level questions in order: who may invest, how flexible the policy is, and when the lane is the wrong tool.

UCITS and Part II UCIs

UCITS under Part I of the 2010 Law support transferable securities strategies with an EU marketing passport under the UCITS Directive. Part II UCIs cover non-UCITS collective undertakings still under CSSF product supervision. Prospectus and eligible-asset discipline runs heavier than for a closed institutional SIF. Choose this lane when distribution and a UCITS-style label matter more than speed.

Specialised investment funds

SIFs target well-informed investors under the 2007 Law, with flexible investment policy relative to UCITS, CSSF approval of documents and depositary, and ongoing supervision. Private equity, real assets, and hedge strategies often land here when the sponsor wants a regulated product label and accepts the authorisation clock. Circular CSSF 25/901 (December 2025) addresses SIFs, SICARs, and Part II UCIs among other points; read the live text before you assume yesterday’s practice still holds.

SICARs

SICARs under the 2004 Law are risk-capital investment companies with a dedicated tax and regulatory design for venture and private equity risk capital. They remain CSSF-authorised products with depositary and governance expectations. Use this lane when counsel prefers that law’s architecture over a SIF or RAIF wrapper. Do not force a SICAR label onto a plain share holdco that never raises external fund capital.

RAIF: authorised manager, no product approval of the fund

The reserved alternative investment fund under the Law of 23 July 2016 is an AIF that must appoint an authorised external AIFM. ALFI and market practice describe the RAIF as free of CSSF product approval of the fund itself, with supervisory visibility arriving through the authorised manager’s reporting. Legal forms include FCP, SICAV/SICAF, and partnership forms familiar to alternative managers. Central administration sits in Luxembourg. Marketing to well-informed investors can use the AIFMD passport when an EU AIFM manages the vehicle.

RAIFs still need RCS/RBE filings appropriate to form, service providers (depositary under AIFMD rules, administrator, auditor), and a real offering document. Speed relative to a SIF is a process difference, not a substance holiday. Sponsors who treat “unregulated” as “no rules” discover AIFMD, AML officers, and LP due diligence in the first closing binder. Choose RAIF when an authorised AIFM is already in the picture and the LP base accepts the regime. Choose a CSSF-authorised SIF or UCITS when the mandate or distribution story requires product authorisation on the CSSF list.

Parallel fit: SOPARFI, RAIF, and CSSF-authorised fund

Use the same five filters under each option: regulatory perimeter, investor story, tax posture category, service stack, and failure mode. Confirm live statutes and fee schedules before you instruct. Founders who skip this matrix often incorporate a SOPARFI, then discover LPs wanted a fund list letter, or they file a SIF when a holding company would have carried group shares without product supervision. Read all three blocks before you instruct the notary. Changing regime after first closing burns counsel time and investor patience. Keep the same fact order under each heading so the trade-offs stay visible without a wide table.

SOPARFI holdco

Regulatory perimeter: RCS company under the 1915 Law; no CSSF product authorisation for a pure holding purpose. Investor story: shareholders of a company, not unitholders of a collective scheme. Tax posture: fully taxable with participation exemption and NWT categories as modelled. Service stack: notary, registered office, accounting, possibly resident directors, bank, tax counsel. Failure mode: mailbox management, treaty denial, bank refusal, or drifting into unlicensed fund management without noticing.

RAIF

Regulatory perimeter: AIF with authorised external AIFM; no CSSF product approval of the RAIF itself; manager supervision and AIFMD duties remain. Investor story: well-informed investors under the RAIF law. Tax posture: depends on form and election; often subscription-tax style regimes aligned with SIF practice or SICAR-like treatment depending on activity; model with Luxembourg fund tax counsel. Service stack: AIFM, depositary, administrator, auditor, legal, placement agents as needed. Failure mode: appointing an unprepared AIFM, underestimating onboarding cost categories, or selling the vehicle as if it were CSSF product-approved when LPs required a list letter.

CSSF-authorised UCI (UCITS, SIF, or SICAR)

Regulatory perimeter: prior CSSF authorisation via eDesk, official list entry, ongoing supervision and approval of material changes. Investor story: UCITS distribution universe or well-informed investors for SIF/SICAR, per the chosen law. Tax posture: vehicle-specific (subscription tax and exemptions differ by product). Service stack: same professional core as RAIF plus CSSF review cycles and one-off approval fee categories under the 2022 Grand-ducal fee regulation. Failure mode: incomplete eDesk files, depositary or director fitness issues, and timelines that miss a fundraising window.

Substance, management, and what banks actually test

Luxembourg company formation is the easy week. Substance is the year that follows. Tax residence language about central administration means board minutes, Luxembourg meetings or documented decision trails, local directors or managers who can explain the portfolio, and an office that is more than a plaque. Treaty partners apply beneficial-ownership and principal-purpose tests to dividend and interest flows. Banks ask for RCS extracts, RESA publications, RBE evidence, group charts, source of funds, and, for fund vehicles, CSSF correspondence or AIFM appointment papers.

Economic presence expectations tightened under EU anti-avoidance work even where specific “unshell” proposals stall. Circulars and administrative practice still push demonstrable people, premises, and decision-making for holding companies that claim treaty and exemption benefits. A SOPARFI with qualifying dividends and thin taxable income still needs someone who can open the ledger. Fund vehicles add depositary oversight and AIFM location rules. Build the substance budget beside the notary invoice. Compliance and risk documentation for AML narratives often sits in the same pack the bank requests.

Cost categories you will see on the invoice

Ignore mill headlines that compress Luxembourg into a single “from” line. Split the quote into categories and open the official schedule for each regulated line. Figures belong on Guichet, LBR, AED, and CSSF pages, not here. A SOPARFI year-one stack and a fund launch share notary and register lines, then diverge once depositary, AIFM, and CSSF approval fees appear. Ask every provider which category they quote and which official tariff sits underneath. Do not accept a bundled “setup” number that hides supervision lines. The three subsections below cover formation, tax and accounting, then fund supervision in that order.

Formation and register lines

Notary fees, share capital funding, fixed registration duty to the AED, RCS filing and RESA publication fees on the LBR tariff page, name-check certificates, and certified extracts. Desk filing surcharges exist if you avoid electronic channels; Guichet describes them as add-ons to the tariff. Translation and legal drafting for bilingual groups are professional lines, not government tariffs.

Tax and accounting lines

Corporate tax registration and filings with ACD, net wealth tax (including minimum NWT where the balance sheet triggers it), VAT analysis with the AED, annual accounts preparation, and statutory audit when size or form requires a réviseur. Participation exemption modelling and transfer-pricing files for intra-group debt are counsel categories that recur every year you refinance.

Fund and supervision lines

For CSSF-authorised UCIs: one-off approval fees and periodic supervision fees under the Grand-ducal Regulation of 23 December 2022 (confirm live consolidated text on cssf.lu). Depositary, AIFM or management company, fund administrator, auditor, legal for PPM/prospectus, and AML officer roles. RAIF drops the product approval fee category but keeps the AIFM and depositary stack. A SOPARFI that never becomes a fund still pays domiciliation and director retainers if you buy substance from providers.

Who Luxembourg fits and who it fails

Luxembourg fits institutional holding companies that need an EU fully taxable parent with a credible participation exemption worksheet, multi-layer groups that place financing and shareholdings in a jurisdiction banks already understand, and fund sponsors launching UCITS, SIF, SICAR, or RAIF products for well-informed or UCITS distribution channels. It fits when the budget assumes professional service providers and when LPs or corporate counterparties ask for Luxembourg documents by name.

Luxembourg fails micro-SME trading businesses that wanted a light EU company at offshore pricing, founders who refuse any Luxembourg management footprint, and local craft or personal-services activity better handled through Guichet’s business-permit path than a SOPARFI story. It fails when a collective scheme is marketed as a private SARL to dodge CSSF and AIFMD. Offshore fund registers are a different market; do not import their cost assumptions into a Luxembourg onshore stack.

Apply the same filters elsewhere if you compare EU holdcos: entity type, CSSF or local regulator perimeter, tax categories, substance, banking. Confirm every rate, tariff, and eligibility threshold on the live Guichet, LBR, ACD, AED, and CSSF pages before you sign a deed or submit an eDesk file.

FAQ

Is a SOPARFI regulated by the CSSF?

A SOPARFI is a commercial company under ordinary company and tax law, not a CSSF product category. CSSF authorisation attaches if the company is an investment vehicle under UCI, SIF, SICAR, or related laws, if it is an investment fund manager, or if it performs other regulated financial-sector activities. Pure holding of participations for its own account typically stays outside product authorisation.

Do I need CSSF approval to register a Luxembourg holding company?

RCS registration of an SARL or SA through a notary does not require CSSF product approval for a standard holding purpose. You still complete RCS and RBE filings and tax registrations as applicable. Raising external capital under a collective investment policy or acting as an unauthorised AIFM can pull the project into CSSF processes even if the company started life labelled SOPARFI.

What is the difference between a RAIF and a SIF?

Both target alternative strategies for well-informed investors. A SIF requires prior CSSF product authorisation and ongoing product supervision. A RAIF does not obtain CSSF product approval of the fund itself but must appoint an authorised external AIFM, so supervision arrives through the manager. Service-provider and AML expectations remain material in both cases.

How long does Luxembourg company registration take?

A straightforward notarial SARL or SA can complete deed, AED registration duty, RCS filing, and RESA publication on a short professional timeline when KYC and capital are ready. Name checks and bank capital steps add days. CSSF-authorised funds add eDesk examination rounds measured in weeks or months. RAIFs can move faster on the product side but still need AIFM and depositary readiness.

What substance does a Luxembourg SOPARFI need?

Expect central administration in Luxembourg, decisions that match the registered office story, accurate RBE filings, and documentation banks and treaty partners can test. Resident directors, premises, and local staff scale with the income and treaty claims you make. A participation-exemption model without people who can explain the subsidiaries is a common failure pattern.

Can a small startup use Luxembourg instead of a lighter EU company?

Usually poorly. Minimum capital rules, notary costs, recurring accounting, potential minimum net wealth tax, and banking expectations make Luxembourg heavy for micro trading companies. Prefer it when institutional counterparties or fund architecture require it.

Where do I check official fees?

LBR publishes RCS tariffs. Guichet links AED registration duty information. CSSF UCI approval and supervision fees sit in the Grand-ducal Regulation of 23 December 2022 on cssf.lu. Tax rates and NWT schedules sit with ACD material. Open the live page before payment.

Does Luxembourg participation exemption mean zero tax?

No. Qualifying dividends and gains can be exempt when percentage, acquisition-cost, holding-period, and subsidiary-tax tests are met. Non-qualifying income, failed tests, gain recapture, municipal business tax on remaining bases, net wealth tax, and Pillar Two for in-scope groups still apply. Model each stream against current ACD rules
