Registered-agent retainers, beneficial-ownership filings, economic-substance work, certificates, apostille or legalisation, and bank onboarding sit on separate invoices. Licensing and company formation starts by naming those lines, not by chasing the cheapest mill banner.
Fit decides the register. A holdco that counterparties already recognise pays a different year-one stack than a budget trading wrapper that will struggle to open a current account. Confirm every tariff on the live instrument before you pay. Figures below are dated August 2026. A typical mill package absorbs some government fee, a first-year registered-agent and registered-office retainer, template memorandum and articles, and a basic corporate kit. The small print often excludes economic-substance filings, certified copies, apostille, courier, nominee directors, and any bank product. When the bank line appears, it is usually an introduction, not an IBAN. Ask the agent to split the government line from the professional fee in writing. If the quote still shows a BVI government fee of US$350 or US$450, the schedule is stale: the 2022 Order moved the standard band to US$550.
Cheap headlines win the keyword cheapest offshore company formation. They do not tell you whether the register fits your activity, whether a bank will look at the statute, or what year two costs once substance and beneficial-ownership clocks start. Score the government lines first. Then price the agent. Then price banking and compliance as separate work.
The recurring cost categories every register shares
Across the registers founders actually use, the same categories reappear. Incorporation is the one-time government charge to put the company on the register. Annual government or licence fee is the recurring state charge that keeps good standing. Registered agent and registered office are statutory requirements in most of these places; the fee is commercial, set by the licensed provider, not by a public gazette as a Medici rate. Beneficial-ownership filing fees appear where the registrar now holds a BO record. Economic substance declarations attach where the statute lists relevant activities. For a standard Business Company authorised to issue up to 50,000 shares, incorporation is US$550. Above 50,000 authorised shares, incorporation is US$1,350. The companies schedule effective 1 January 2025 is the formation spine for an exempted company. Capital tier drives both registration and annual amounts. Every jurisdiction above requires a licensed local intermediary for formation or maintenance. The government schedule is public. The agent invoice is a private contract. Mills collapse both into one "from" price so the SERP looks decisive. Your job is to uncollapse them.
Ask for three figures in writing: the exact government line with the statutory citation or registry schedule name; the first-year agent and registered-office retainer; the year-two renewal assuming no nominees and no banking. If the provider cannot name the government line, walk away. If the government line disagrees with the Order, FSA PDF, Registry table, BCCAR schedule or DGI FAQ, believe the official text and make the agent explain the difference.
Nominee directors, nominee shareholders, mail forwarding, and "banking introduction" are optional commercial add-ons. They inflate mill packages without changing the registrar tariff. Compliance and risk work for AML packs and UBO charts is likewise commercial advisory, priced for the file, not copied from a gazette.
Beneficial ownership filings and economic substance as separate invoices
Beneficial ownership and economic substance are the two post-2019 cost categories mills still bury. BVI now charges US$125 to file BO with the Registrar and US$75 for a qualifying legitimate-interest inspection. Cayman and Seychelles route BO through agent channels into central records with less of a single public "BO stamp fee," yet the agent still bills the work. Belize and Panama require accurate owner data under their own frameworks. Budget the filing even when the dollar fee is small; a mismatched UBO chart stops banks.
Economic substance is activity-driven. A pure equity holdco may face a reduced test and a notification. Finance, IP, distribution, headquarters and similar relevant activities pick up full tests, local people or outsourcing evidence, and higher failure penalties. Cayman and BVI publish penalty scales in statute. Seychelles uses a narrower Schedule 11 overlay for covered groups. None of that cost appears inside a "company from $595" tile. Accounting and tax keeps the substance classification, the books and the home-country reporting on one calendar.
Certificates, apostille and notary: market-labelled extras
Good standing certificates, certified copies and incumbency letters are usually cheap on the government schedule and expensive in time. Belize lists good standing at US$15 and apostille at US$25 on BCCAR. Other registers price certified copies in the tens of dollars. The larger invoice is courier, notary, and, where the destination state is not a Hague Apostille party, consular legalisation. The UAE is not an Apostille Convention party on the HCCH status table; papers bound for UAE courts, banks or licensing files need the consular path and MOFAIC attestation. Treat apostille and legalisation as a labelled market range driven by destination and urgency, not as a hidden registrar discount, and not as a Medici quote.
Banks asking for a fresh good standing after formation will trigger this line again. Build it into year one if you know the bank will ask.
Banking and compliance sit outside the formation invoice
A registrar sells a legal person. A bank or payment institution sells rails after its own customer due diligence. Formation cost and banking cost are different projects. High-risk activity stretches onboarding. Plain holding companies still need a coherent source-of-wealth story, a group chart and tax-residence self-certification under CRS or FATCA. On that method, a Seychelles or Belize government floor looks low, a BVI standard band sits in the middle, and Cayman's lowest Registry band already clears US$850 before office. Panama's B/.300 tasa única looks tiny until Registro Público and resident-agent lines join it. None of those outcomes crowns a universal cheapest jurisdiction. The cheap register that a bank declines is the expensive register.
