Nobody rejects a token because the tokenomics are ambitious. They reject it because nobody can say, in writing, what the token legally is.
Tokenomics consulting is the design and review of a token's economic model — supply, allocation, vesting, emission, utility and incentives — together with the legal analysis that decides how regulators and exchanges will treat it.
Two questions determine whether a token launches: does the model work commercially, and does it stay outside securities regulation. Answered separately, they produce a model that has to be rebuilt after the first serious legal review. Answered together, they produce a token that can be classified, listed and funded.
Economic modelling and simulation run with our modelling partner. Classification, restructuring, documentation and the legal opinion are held by Medici Expert — so a single team stays accountable for whether the model holds up when investors' lawyers read it.
Most token models are designed for investors first and reviewed by lawyers later. That’s where problems start. Features that make a token attractive — yield, profit sharing, buy-backs or discretionary control — can also change its legal classification.
Fixing this after the economics, whitepaper and smart-contract logic are already built means redesigning the token. We define the legal perimeter first, so the model is built to work within it from day one.
The Medici Expert approach. Classification and economics are developed together. The token model, whitepaper, smart-contract brief and legal opinion are built around the same structure — ready for investors, listing desks and regulators
Teams raising with a token in the structure, where investor counsel reviews the model before the round closes
Ecosystems where in-game assets, marketplaces and reward mechanics can turn into financial instruments by accident.
Projects where the token carries a claim on a real asset and the model has to match the issuer structure.
Governance layers that hold funds and take decisions without a legal person able to stand behind them
/01
Read an existing model — your own or one built elsewhere — mechanic by mechanic, and get a written map of what creates regulatory risk and what does not.
/02
Establish what the token legally is, under every test that applies to your jurisdictions and your investors — in writing, and before the mechanics are locked.
/03
Rebuild the model as a defensible utility token — keeping the commercial logic, removing what turns it into a security
/04
Make the documentation say the same thing as the model — the version investors, exchanges and regulators will actually read
/05
Give developers a written brief of what the contract must not be able to do — before it is deployed and the model becomes hard to change.
/06
Assemble the opinion package and the listing documentation, and coordinate the counsel whose signature the market will accept
Every token mechanic mapped against regulatory risk, with clear reasoning behind each assessment.
A documented assessment of how the token is classified under the applicable regulatory frameworks — and why.
Allocation, vesting, emissions, utility and value flows structured within the agreed legal perimeter.
Token functionality, economic flows, vesting, utility and required regulatory disclosures — aligned with the final model.
A clear specification translating the approved token model into requirements your development team can build against.
The documentation required for legal review, prepared for external counsel where a formal opinion is needed.
The model, the whitepaper and the contract logic are read together. You get a risk map and a straight answer on whether the token can launch as designed.
The tests that apply are run and written up. The perimeter — the line the token has to stay behind — is agreed before anything is rebuilt.
Tokenomics, whitepaper, disclosures and the contract brief are rewritten as one consistent set, with modelling run against the agreed constraints.
The opinion package is assembled and counsel coordinated, then the listing, investor and banking materials are handed over.

The strongest token models are not designed first and legalized later. They are built from the start as one economic, legal and technical structure
The perimeter is set first, so the model is built once instead of rebuilt after review
Classification, restructuring, documentation and opinion coordination sit with the same team, with modelling run by our partner under a legal brief
Issuer, operating company, DAO wrapper and treasury are designed together with the token — the part most tokenomics work leaves out
Documentation prepared for investor counsel, listing desks and bank onboarding, not for formal completion
Independent recognition from crypto media and business awards, plus a seat at the table where regulation is discussed

Designs and reviews the economic model of a token — supply, allocation, vesting, emission, utility and incentives — and establishes how regulators and exchanges will treat it. The second half is what decides whether a launch happens.
